1. ELIGIBILITY AND ACCOUNT REGISTRATION
Welcome to CraftFolia ( craftfolia.com) These Terms and Conditions ("Terms") form a legally binding agreement between CraftFolia ("we,""us," or "our") and you ("User, you," or "your"), whether you are registering as a Freelance Designer ("Designer") or a Brand/Client ("Publisher").
By creating an account, browsing our Member directories, or using any of our escrow, billing, or marketplace features, you explicitly agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the platform.
1.1. Minimum Age: You must be at least 18 years of age to register an account on CraftFolia. By creating an account, you
represent and warrant that you have the legal capacity to enter into a binding contract under UK law.
1.2. Account Types: Users must register under the correct classification: Publishers (who seek to hire creative talent) or Designers (who offer creative services).
1.3. Information Accuracy: You agree to provide accurate, current, and complete information during registration via CraftFolia registration forms and to keep your profile metadata updated. Providing fraudulent or misleading data will result in immediate account termination.
1.4. Account Security: You are entirely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at our designated support email of any unauthorised access to your account.
2. PLATFORM ACCESS, SUCCESS FEES, AND NON-CIRCUMVENTION
2.1. Platform Access and Fee Structure: CraftFolia reserves the right to charge fees for platform access and marketplace usage, including but not limited to recurring account subscriptions, registration fees, and transaction-based success fees. In exchange for utilizing the secure escrow system, member directories, communication infrastructure, and automated invoicing architecture, users agree to pay all applicable fees assigned to their account tier.
2.2. Success Fees: CraftFolia levies a mandatory success fee (commission) on completed project transactions. This success fee is calculated as a percentage of the gross project value and is automatically deducted from the escrow holdings prior to the final freelancer payout disbursement. The current success fee percentages, along with any active membership subscription rates, are displayed clearly on the platform's pricing parameters or dashboard modules and may be adjusted by CraftFolia at any time upon reasonable notice.
2.3. Non-Circumvention Rule: Users explicitly agree to process all financial transactions resulting from introductions, interactions, or communications initiated on CraftFolia exclusively through the platform's native payment engine. Any attempt by a Publisher or Designer to bypass the secure escrow system by arranging off-site payments to circumvent the platform success fee or platform access charges constitutes a material breach of contract. Such action will result in immediate, permanent account termination, the forfeiture of any active escrow balances, and may subject the
offending parties to collection actions for lost marketplace revenue.
3. PAYMENT INFRASTRUCTURE AND ESCROW MILESTONE
3.1. Third-Party Processor: CraftFolia operates solely as an intermediary multi- party infrastructure platform. All financial transactions, card authentications, and payment distributions are managed securely off-site by our designated third-party payment processor, Stripe Connect.
3.2. Upfront Funding: Publishers are contractually required to pay 100% of the project funds upfront into the platform's
escrow holding vault before any work commences.
3.3. Fund Disbursal: These funds are held securely in a non-interest-bearing intermediary holding account and will not be disbursed to the Designer until either:
• The Publisher formally logs project milestone approval via the system dashboard, or
• A formal administrative or dispute resolution ruling instructs a distribution release.
3.4. Data Storage: Users acknowledge that CraftFolia does not store raw credit card details or bank credentials on its local servers. All automated invoicing and accounting logs are generated securely via GetPaid Pro and Stripe.
4. USER-GENERATED CONTENT AND INTELLECTUAL PROPERTY
4.1. Profile Content License: By uploading bios, portfolio images, company logos, or project descriptions to your CraftFolia profile or directory listing, you grant CraftFolia a non-exclusive, worldwide, royalty- free license to display, host, and promote this content for marketplace functionality.
4.2. Prohibited Content: You warrant that your user-generated content does not infringe upon any third-party intellectual
property rights, copyrights, or trademarks. Uploading defamatory, offensive, or stolen creative work is strictly prohibited.
4.3. Project IP Transfer: Full intellectual property and ownership rights of creative deliverables pass from the Designer to the Publisher only after final project approval is formally logged via the dashboard and the escrow payout is fully cleared. Until payment clears, the Designer retains legal ownership of the artwork.
5.ESCROW DISPUTES, QUALITY ARBITRATIONS, AND REFUNDS
5.1. Limitation of Intermediary Liability: Because CraftFolia operates as an independent intermediary marketplace agent rather than an employer, supervisor, or structural manager of creative services, we are not liable for individual project delays, communication failures, or taste disputes between independent parties.
5.2. Dispute Resolution Filing: If a Publisher believes a project deliverable does not match the agreed-upon project specifications, they must formally submit a refund or revision dispute through our designated platform Contact and Refund Form. Once a formal dispute is logged, the affected project funds will remain securely locked in the escrow holding vault.
All disputes, administrative reviews, and fund returns are governed strictly by comprehensive Escrow & Refund Policy, which is fully incorporated into these Terms.
5.3. Binding Arbitration: Users agree that CraftFolia management retains ultimate binding authority to review project logs, communication histories, and delivery files to issue a final administrative distribution or refund decision if an irreconcilable conflict manifests.
6. ACCEPTABLE USE AND TERMINATION
6.1. Prohibited Behavior: You agree not to use bots, scrapers, or malicious code to extract data from our Publisher or Designer directories.
6.2. Suspension Rights: We reserve the right to suspend or terminate any account immediately, without notice, if we suspect a user has violated these Terms, engaged in fraudulent billing, or attempted platform circumvention.
6.3. Chargeback and Reversal Prohibitions: Because CraftFolia provides an internal dispute and binding arbitration framework (Section 5), Users are strictly prohibited from initiating low-basis or fraudulent payment disputes, credit card chargebacks, or bank reversals through their card-issuing bank or financial institution. Initiating a chargeback prior to, during, or after a formal platform dispute is a material breach of these Terms. CraftFolia reserves the right to immediately suspend or permanently terminate any account associated with a chargeback, withhold any pending escrow balances to offset transaction dispute fees, and pursue collection actions or legal proceedings under English law to recover the lost marketplace revenue, processing penalties, and associated legal costs.
6.4. Survival of Terms: Sections regarding Platform Fees, Non-Circumvention, Limitation of Liability, and Intellectual Property shall survive any termination of these Terms.
7. LIMITATION OF LIABILITY AND DISCLAIMERS
7.1."As-Is" Service: CraftFolia is provided on an "as-is" and "as-available" basis. We make no guarantees that platform operations will be completely uninterrupted or error-free.
7.2.Consequential Losses: To the maximum extent permitted by law, CraftFolia shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities arising from disputes between Publishers and Designers.
8. GOVERNING LAW AND JURISDICTION
8.1. Jurisdiction: These Terms and any dispute or claim arising out of or in connection with them (including non-
contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
8.2.Courts: Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising under this agreement.
9. CHANGES TO THESE TERMS
We reserve the right to update or modify these Terms at any time. If material changes are made (such as changes to subscription gates or underlying transaction processing features), we will provide reasonable notice by updating the date at the top of this document or via a direct platform notification. Your continued use of the platform after changes are posted constitutes your acceptance of the updated Terms.
